Terms of Service

By using DiversiFi Capital and the https://diversificapital.invoiced.com website ("Service"), a service made possible by Invoiced, Inc. (“Invoiced”), you are agreeing to the following terms and conditions ("Terms of Service").

Both the Service and Invoiced reserve the right to update and change the Terms of Service at their discretion. Any new features shall be subject to the most current Terms of Service. Continued use of Service after any such changes imply your consent to such changes. You can review the most current version of the Terms of Service at any time at https://diversificapital.invoiced.com/terms. Violation of any of the terms listed below will result in the immediate termination of your Service account.

ACCOUNT TERMS

  • Accounts registered by automated methods are not permitted and will be deleted immediately without notice.

  • The terms of this Agreement shall commence as of the date you first register for, access or use of the Service, and shall continue until terminated as set forth below.

  • You agree to provide us with current, complete, and accurate registration information as prompted by the Service registration process and to maintain and properly update such information. This will include but is not limited to your legal full name, a valid email address, permanent street address, and any other pertinent information.

  • Your log-in should be used by one (1) person only – a single login shared by multiple people is not recommended.

  • You are responsible for maintaining the security of your account and password and for any charges, damages, liabilities, or losses incurred or suffered as a result of your failure to do so. Your Service account does not include personal identifiable information but will include your address, billing address, phone number, and last 4 digits of your payment information. Invoiced cannot and will not be liable for any loss of information or security breaches that result from your failure to comply with this security obligation.

  • Diversifi Capital uses a 3rd party service named Stripe to store a protected copy of your payment information. submit your payment information to the Stripe gateway and will charge you a fee based on the dollar amount of the transactions processed by the Service. Monthly charges for the Service will be at the rates set forth by Service type and agreed upon by you in the Service’s registration process. You are responsible for your own merchant bank account fees in addition to fees set forth hereunder.

  • You are hereby considered fully responsible for all content posted and any and all activity that occurs under your account, even when certain content is posted by others who have access under your account.

  • You may not use the Service and/or Invoiced for any illegal activities. You must not, throughout your use of the Service, violate any applicable laws in your jurisdiction, and this is including but not limited to copyright laws.

PAYMENTS AND REFUNDS

  • The Service bills for subscriptions in advance on a recurring basis. The payment day of the recurring basis will be based upon the day you sign up with the Service. For example, if the initial invoice is issued to you on the 14th, your recurring payment day will be the 14th of every month until terminated.

  • Refunds are issued to the payment method used at the time of the initial purchase. If the original payment method you used to make the payment (credit/debit card) is no longer valid, the Service will issue the refund by check made payable to you and will mail this to your address on file.

  • All fees exclude any taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies, or duties.

CANCELLATION

  • You may discontinue the Service at any time by canceling any of your subscriptions in the “Subscriptions” section. However, you will have the option to continue our Service for the remainder of your monthly billing cycle.

  • The Service will cancel your membership upon your request in writing. Any refunds will be based upon an hourly rate of $250.00 per hour. It is expected that the Service requires a minimum of 2 hours of our time to properly onboard you. Additionally, it is expected that each meeting will require a minimum of 1 hour of the Service’s time. The Service reserves the right to collect any additional fees to match our hourly rate. Each service offered is built to match the Service’s hourly cost over a year’s worth of service.

  • Your cancellation will be effective immediately once initiated. You will not be charged again from that point forth. However, it is your responsibility to ensure that your account has been properly canceled.

  • Both the Service and Invoiced reserve the right to suspend or terminate your account and refuse any and all current or future use of the Service for any reason at any time.

MODIFICATIONS

  • Both the Service and Invoiced reserves the right at any time, with or without notice, to modify or discontinue the Service, temporarily or permanently. However, if there are any amendment or modification done by DiversiFi Capital, you will be notified by the Service through e-mail and/or by some other means of communication. If you do not agree with the amended or modified Agreement, you are free to reject it; but will no longer be able to use the Service.

  • If you use the Service in any way after a change to this Agreement is effective, that means you agree to all of the changes. Except for the changes to this Agreement made by DiversiFi Capital in accordance with this section, no other amendment or modification of this Agreement will be effective unless in writing and signed by both you and DiversiFi Capital.

  • Invoiced shall not be liable to you or to any 3rd party for any modification, suspension, or discontinuance of the Service.

COPYRIGHT AND LICENSE

  • Unless with explicit permission from Invoiced, you agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service.

  • You must not modify another website so as to falsely imply that it is associated with the Service or Invoiced.

GENERAL TERMS

  • We may remove Content and Accounts containing Content that we determine in our sole discretion are violating the terms of service, including but not limited to content deemed unlawful, offensive, threatening, libelous, defamatory, pornographic, explicitly obscene, generally objectionable or violating any party’s intellectual property.

  • You must not transmit any worms, viruses or any other code of a destructive and furtive nature.

  • You expressly understand and agree that Invoiced nor DiversiFi Capital shall not be liable for any payments and monetary transactions that occur through your use of the Service. You expressly understand and agree that all payments and monetary transactions are handled by the 3rd party payment platform the Service uses: Stripe (https://stripe.com) and Invoiced (https://invoiced.com/). You agree the 3rd party platforms nor DiversiFi Capital shall not be liable for any issues regarding financial and monetary transactions between you and any other party.

  • The Service may provide you with access to, be integrated with, or contain links or references to, products, services, data, information, sites or other materials which are provided or operated by 3rd parties. 3rd party platforms are not under DiversiFi Capital’s control, and you acknowledge that Diversifi Capital is not responsible or liable for the content, functions, accuracy, legality, appropriateness or any other aspect of such 3rd party platforms. You shall comply with all 3rd party terms and shall indemnify and hold DiversiFi Capital harmless from all damages, costs, settlements, attorneys’ fees and expenses arising from or related to your breach of any 3rd party terms. Any provision of 3rd party platforms, and any exchange of data between you and any 3rd party provider of a 3rd party platform, is solely between you and the applicable 3rd party provider.

  • We are not liable for any losses relating to chargebacks, fraudulent charges, or other actions by you, fraudulent or otherwise invalid. By using the Service, you hereby release DiversiFi Capital from any liability arising from fraudulent actions. You will also use best efforts to promptly notify DiversiFi Capital of any fraudulent actions which may affect the Service. DiversiFi Capital reserves the right, in its sole discretion, to terminate your account if you engage in, or permit any other user or customer to engage in fraudulent actions.

  • The failure of Invoiced or the Service to aggressively enforce any right or provision of the Terms of Service shall not be construed as a waiver of such right or provision. The Terms of Service outlines the entire agreement and supersedes any prior agreements between you and Invoiced and DiversiFi Capital including prior iterations of the Terms of Service.
